1. Agreement and eligibility

By accessing or using our services, you agree to these Terms and our Privacy Policy. You must be able to enter a binding agreement and, if acting for an organization, have authority to bind it. You may not use the services if prohibited by applicable law.

2. Services and accounts

Sunny Digital LLC provides digital strategy, design, development, software, and related services. You are responsible for accurate account information, credential security, authorized users, and all activity under your account. Product availability and features may change as our services evolve.

3. Customer data and permissions

You retain ownership of data you submit. You grant us the limited rights necessary to host, process, transmit, and display that data to provide and improve the services. You represent that you have all rights, notices, and legally sufficient permissions required to collect and use the data and to instruct us to process it.

4. Communications compliance

If you use a Sunny Digital product to support calls, messages, or outreach, you must:

• Contact only people you may lawfully contact and retain evidence of required consent.
• Never use scraped, purchased, rented, or transferred SMS-consent lists.
• Accurately identify the sender and the nature of each communication.
• Honor opt-outs, revocations, suppression lists, HELP, and STOP requests promptly.
• Comply with the TCPA, Telemarketing Sales Rule, state laws, carrier rules, and platform policies.
• Provide consent records when requested and avoid prohibited content or evasion tactics.

We may suspend or terminate noncompliant traffic. Registration, deliverability features, or compliance tools do not guarantee legal compliance or message delivery.

5. Sunny Digital SMS messaging program

Sunny Digital LLC may send recurring marketing text messages about special offers, promotions, and service updates only when you separately consent to marketing messages. We may also send recurring non-marketing text messages about your project inquiry, appointments, account, support requests, or requested services only when you separately consent to those messages. Consent is voluntary, is not a condition of purchase, and is limited to the message category selected on the opt-in form.

Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time. We may send one confirmation that your opt-out was processed. Reply HELP for help, email [email protected], or call +1 (989) 588-1960. You may enroll again through a Sunny Digital opt-in form after opting out.

You must control or be the customary user of the mobile number provided. Wireless carriers are not liable for delayed or undelivered messages, and we do not guarantee message delivery or timing. Our handling of mobile information and consent records is described in our Privacy Policy.

6. Acceptable use

You may not misuse the services, interfere with their operation, probe for vulnerabilities, access them without authorization, infringe rights, distribute malware, facilitate deception, harassment, discrimination, or illegal activity, or attempt to bypass usage or safety controls.

7. Intellectual property

Sunny Digital and its licensors own the services, software, branding, and related intellectual property, excluding customer data and deliverables expressly assigned in a separate agreement. Feedback may be used without restriction or obligation.

8. Fees, suspension, and termination

Fees, payment timing, subscriptions, renewals, refunds, and cancellation terms are stated in the applicable order or customer agreement. We may suspend access for nonpayment, security risk, unlawful use, or a material breach. You may stop using the services at any time, subject to your agreement.

9. Disclaimers and liability

To the extent permitted by law, services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement. Sunny Digital will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, loss of data, or business interruption. Any aggregate liability will not exceed amounts paid for the affected service during the twelve months before the event.

10. Indemnification

You will defend and indemnify Sunny Digital LLC and its personnel against claims arising from your data, your use of the services, your communications practices, or your violation of these Terms or applicable law.

11. General

These Terms and any applicable customer agreement are the entire agreement for the covered services. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent. We may assign them as part of a reorganization or business transfer. Contact us using the information below with questions.
